SERVICE AGREEMENT
Representation & Opportunity Placement Agreement

1. Investment
The Client will be charged $647 AUD per month (inclusive of GST) on a month-to-month basis.
Invoices for service fees are issued monthly and are due within 3 days of invoice, unless paid via an approved recurring payment method.
Cost Adjustment Clause
Brimbravo reserves the right to adjust service fees with 30 days written notice if material increases occur in operating costs including software, platform fees, compliance requirements, or staffing.
2. Commission
A 20% commission applies on all paid opportunities introduced, facilitated, negotiated, or secured by Brimbravo.
For Australian (onshore) engagements, commission is charged at 20% plus GST in accordance with Australian tax law.
For international engagements, GST will not be applied where the supply is treated as a GST-free export under applicable Australian tax regulations.
This includes but is not limited to:
- Stage speaking engagements
- Podcasts
- Articles and media features
- Panels and conferences
- Brand collaborations
- Corporate appearances
- Workshops or consulting engagements resulting from introductions
Commission remains payable regardless of whether the final agreement is executed directly between the Client and the organiser.
Commission Applicability
Commission is applicable whenever Brimbravo introduces, facilitates, or negotiates an opportunity, including:
- outbound opportunities sourced by Brimbravo
- opportunities referred to Brimbravo by the Client
- inbound enquiries received by the Client where Brimbravo participates in negotiation or representation
- opportunities where Brimbravo assists in structuring, negotiating, or confirming the engagement
Where Brimbravo participates in negotiation or representation of the opportunity, the standard commission provisions apply.
Minimum Commission
Brimbravo reserves the right to apply a minimum commission of $200 AUD plus GST where applicable on paid engagements where the calculated 20% commission would fall below this amount.
Payment Timing
Commission invoices are due within 14 days of the Client receiving payment from the organiser.
Where Brimbravo receives payment first, the agreed commission plus GST where applicable will be deducted and the remaining balance remitted to the Client within 14 days of funds clearing.
Repeat Engagements
Repeat bookings with organisers first introduced by Brimbravo remain commissionable for 24 months from the date of the first engagement, or for any subsequent engagements where Brimbravo continues to represent or negotiate on behalf of the Client in the transaction.
3. Scope of Services
Brimbravo acts as a concierge representation and opportunity placement partner supporting the Client’s visibility and booking pipeline.
Services are ongoing throughout the month and include continuous identification, qualification, and facilitation of relevant opportunities.
Brimbravo will:
- Conduct ongoing outreach to secure stage, podcast, article, and media opportunities
- Refine positioning and outreach messaging aligned with the Client’s profile
- Facilitate introductions between the Client and organisers
- Assist with negotiation of engagements where appropriate
- Continuously collect and assess relevant opportunities throughout the month
- Provide a WhatsApp group for operational updates and opportunity notifications
- Provide transparency around outreach activity and opportunities generated
Brimbravo operates a concierge service model, meaning opportunities may arise at any time during the engagement and introductions may occur throughout the month as suitable opportunities are identified.
Operational Communication
The WhatsApp group is used for coordination and updates only and does not replace formal written confirmation of engagements.
Exclusions
Brimbravo is not responsible for the Client’s performance, delivery, or fulfilment of engagements.
4. Optional Inbound Representation
The Client may elect to assign Brimbravo as their primary contact for inbound speaking, media, or collaboration opportunities.
Where activated:
- Organisers may communicate directly with Brimbravo
- Brimbravo may negotiate terms, fees, and logistics on the Client’s behalf
- The standard 20% commission applies to these engagements where Brimbravo facilitates or negotiates the opportunity
This inbound representation option may be activated or withdrawn by written agreement.
5. Client Responsiveness
The Client agrees to respond to opportunities within 72 hours of notification.
Responses may include:
- Accept
- Decline
- Request additional information
If the Client does not respond within 72 hours, the opportunity may be treated as declined.
Brimbravo may re-approach declined opportunities at a later stage where appropriate.
6. Monthly Strategy Call
The Client may book one (1) strategy call per calendar month, up to 20 minutes, with Brimbravo to discuss positioning, opportunities, or strategic direction.
Calls must be scheduled in advance using the provided booking calendar.
Unused calls do not roll over to future months.
Additional consulting sessions may be arranged separately if required.
7. Non-Circumvention & Exclusivity
The Client agrees not to bypass or attempt to bypass Brimbravo in order to directly engage with organisers introduced by Brimbravo for the purpose of avoiding commission obligations.
All opportunities sourced or introduced by Brimbravo must be booked through Brimbravo.
Commission remains payable even if the Client later books directly with an organiser where the original introduction was made by Brimbravo.
8. Commission Tail
Any organiser or opportunity introduced by Brimbravo remains commissionable if the Client enters into an engagement or commercial arrangement with that organiser within 24 months of the initial introduction, even if this Agreement has terminated.
9. Payments & Service Suspension
Overdue service fees or commission invoices may accrue 2% simple interest per month, calculated monthly, plus any reasonable collection costs incurred.
If service fees become overdue, Brimbravo reserves the right to suspend all services immediately until outstanding balances are settled.
During any suspension period:
- Brimbravo has no obligation to pass on opportunities identified during that time
- Outreach and introductions may be paused
- Any opportunities identified may be retained or redirected at the discretion of Brimbravo
Commission obligations remain applicable on any opportunities introduced by Brimbravo prior to or during the Agreement period.
10. Automatic Payment Authorisation
The Client agrees that the monthly service fee may be paid via automatic debit or recurring payment using the payment method provided during onboarding.
By entering into this Agreement, approving a recurring payment method, or paying the first invoice, the Client authorises Brimbravo to charge the agreed monthly service fee on a recurring monthly basis until this Agreement is terminated.
The Client agrees to maintain valid and up-to-date payment details for the duration of the Agreement.
If a scheduled payment fails or is declined, Brimbravo may:
- attempt to process the payment again
- suspend services until payment is successfully processed
- require an alternative payment method before services resume
Any overdue payments remain subject to the late payment provisions of this Agreement.
11. Travel & Expenses
Where possible, Brimbravo will attempt to negotiate travel, accommodation, and related expenses to be covered by the event organiser.
Where such expenses are not covered by the organiser, they remain the responsibility of the Client unless otherwise agreed in writing.
If Brimbravo incurs expenses on behalf of the Client with prior approval, those costs must be reimbursed by the Client within 7 days of invoice.
12. No Refunds
Once outreach or representation activities have commenced, service fees are non-refundable.
13. Publicity Rights
The Client grants Brimbravo permission to list them as a client and reference confirmed engagements for marketing or promotional purposes unless otherwise agreed in writing.
14. Communication
Opportunities and operational communications may be provided via email, WhatsApp, or other agreed communication channels, which constitute valid notice.
15. Opportunity Disclosure
The Client agrees to notify Brimbravo if they are contacted directly by an organiser previously introduced by Brimbravo regarding a potential engagement.
Such opportunities remain subject to the commission provisions of this Agreement.
16. Client Materials
The Client agrees to provide accurate materials including biography, photographs, speaking topics, and other relevant information.
Brimbravo may reasonably refine or adapt these materials for outreach, positioning, and opportunity placement.
17. Event Changes
Brimbravo is not responsible for cancellations, postponements, or changes made by organisers or third parties.
Commission obligations apply only where the Client receives payment or a contractual commitment for payment has been made.
18. Force Majeure
Neither party shall be liable for delays or failure to perform obligations due to events outside reasonable control including natural disasters, pandemics, government restrictions, strikes, or platform outages.
19. Confidentiality
Both parties agree to keep confidential any proprietary data, contact lists, or processes shared during this engagement.
20. Definitions
Introduced
An opportunity where Brimbravo first connects the Client with an organiser or facilitates a direct introduction.
Confirmed
An opportunity accepted by the Client and acknowledged in writing by the organiser.
Engaged
An opportunity where the Client participates, delivers services, or where payment has been made or contractually committed.
21. Independent Relationship
Nothing in this Agreement creates a partnership, employment relationship, or legal agency between the parties.
22. Limitation of Liability
To the maximum extent permitted by law, Brimbravo’s total liability arising from this Agreement shall not exceed the total service fees paid by the Client in the preceding three months.
23. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes any prior discussions, representations, or agreements.
24. Governing Law
This Agreement is governed by the laws of Queensland, Australia.
Both parties agree to attempt resolution through good faith mediation before commencing legal proceedings.
25. Professional Conduct
The Client agrees to conduct themselves professionally and not engage in behaviour that may reasonably damage the reputation of Brimbravo, its team, or its partners.
26. Negotiation Authority
The Client retains final approval over all engagement fees and commercial terms.
However, the Client authorises Brimbravo to discuss indicative rates, negotiate terms, and explore commercial arrangements with organisers in order to facilitate potential engagements.
27. Intellectual Property
All intellectual property, presentations, frameworks, materials, and branding created or owned by the Client remain the property of the Client.
28. Assignment
Brimbravo may assign or transfer this Agreement to a related entity, successor business, or affiliated company including where the business is incorporated in another jurisdiction.
29. Non-Solicitation
The Client agrees not to hire or directly engage any staff, contractors, or representatives of Brimbravo for a period of 12 months following termination of this Agreement without written consent.
30. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
31. Termination
Either party may terminate this Agreement with 30 days written notice.
Any service fees due within the notice period remain payable.
32. Authority
The individual entering into this Agreement on behalf of the Client confirms that they have the authority to bind the Client to the terms of this Agreement.
33. Currency
Unless otherwise agreed in writing, monthly service fees are charged in Australian Dollars (AUD).
Commission on paid engagements will be calculated in the currency of the opportunity or organiser payment.
34. Survival
The provisions relating to commission, commission tail, confidentiality, limitation of liability, intellectual property, and non-circumvention shall survive termination of this Agreement.
35. Digital Execution
This Agreement may be executed electronically. Digital signatures, email confirmation, or payment of the first invoice constitute acceptance.
By signing below, or by paying the first invoice, the Client accepts all terms of this Agreement.
